01Who we are and what these Terms cover
WattFoundry is a trade name of Garner Solutions, LLC. The Service includes:
- wattfoundry.ai, our marketing website;
- app.wattfoundry.ai, the installer app, including system design, utility bill upload and data extraction, proposal building, financial modeling, bids, and team and organization management;
- proposals.wattfoundry.ai, where your customers view, download, and respond to the proposals you publish;
- intake.wattfoundry.ai, our partner intake forms; and
- the Forge referral program.
Our Privacy Policy explains how we handle personal information, and it is part of these Terms. If you and we sign an order form or other written agreement for the Service, that agreement controls where it conflicts with these Terms.
02Accepting these Terms
You accept these Terms when you create an account, click to agree to them, or use the Service. If you use the Service for a company or other organization, you accept these Terms for that organization and confirm that you have authority to bind it. In that case, "you" means the organization.
You must be at least 18 years old and able to form a binding contract. The Service is a business tool for solar installers, sales reps, and their partners. It is not a consumer product. If you only received a proposal from an installer, see Section 8.
03Accounts, organizations, and security
- Accurate information. Give us accurate account information and keep it current. Each login is for one person. Don't share your login with anyone.
- Organizations and roles. Every account belongs to one or more organizations. An organization's owners and admins control who can join it, what role each member has (for example Owner, Admin, or Rep), and the organization's data. If you join an organization, its owners and admins can see and manage the work you do there, and they can remove your access. The organization, not the individual member, controls the Customer Data in its workspace.
- Security. You are responsible for activity under your account and, for owners and admins, under your organization's accounts. Use a strong password, keep sign-in links and codes private, and tell us right away at keaton@wattfoundry.ai if you think someone has accessed your account without permission.
- API access. If your plan includes API access, keep your API keys secret and use them only for your organization. We may rate-limit or revoke keys that are misused.
04Plans, fees, and billing
- Free plan. Every new account can build up to 3 full proposals at no charge, with no time limit and no credit card. The free allowance is one per company, so don't open extra accounts to get more free proposals. We may change or end the free plan for new accounts at any time, and we will give existing free accounts notice before a change affects them.
- Paid plans. Plan features, limits, seat counts, and prices are shown on our pricing page or in your order when you buy. We process payments through Stripe. When you start a paid plan, you authorize us, through Stripe, to charge your payment method for the plan, any add-ons or extra seats you choose, and applicable taxes.
- Billing and automatic renewal. Paid plans are billed in advance for the billing term you choose (for example monthly, 6 months, or 12 months). Your plan renews automatically for the same term until you cancel. You can cancel at any time in the app's billing settings or by emailing us. Canceling stops the next renewal. Your plan stays active through the end of the term you already paid for.
- Refunds. Fees are non-refundable, except where the law requires a refund or these Terms or a written agreement with us say otherwise.
- Price changes. We may change our prices. We will give you at least 30 days' notice before a new price applies to you, and it will take effect at your next renewal.
- Plan limits. If you reach a plan limit, such as proposals per month or user seats, we may pause new usage until your next billing period or until you upgrade.
- Failed payments. If a payment fails, we may suspend paid features until it is resolved.
- Taxes. Prices do not include taxes unless we say so. You are responsible for sales, use, and similar taxes on your purchases, other than taxes on our income.
05Your data
What "Customer Data" means. Customer Data is the data you and your users submit to the Service, including information about your customers: names, contact details, addresses, utility bills (including account and meter numbers), usage, rate, and interval data, roof and site imagery, designs, pricing, and proposal content. It also includes your customers' responses to the proposals you publish.
You own it. As between you and us, you own your Customer Data.
Our limited license. You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service for you, and as described in our Privacy Policy. This includes sending it to the service providers described in our Privacy Policy (for example, AI document extraction, mapping, and third-party energy modeling and financing software providers) to build your proposals. For Customer Data, we act as your service provider and process it on your behalf and under your instructions. We do not sell Customer Data.
Aggregated data. We may create de-identified, aggregated data from use of the Service (for example, how accurately bills from a given utility are read) and use it to operate and improve the Service. It will not identify you, your customers, or any individual.
Your responsibilities. You are responsible for your Customer Data and for how you collected it. You confirm that you have all the rights, notices, and consents needed to upload it and to let us process it as these Terms describe. That includes your customers' permission to share their utility bills and account information with you and your software providers. Don't upload information the Service does not need, such as Social Security numbers, driver's license numbers, payment card numbers, bank account numbers, or health information. Utility account and meter numbers that appear on a bill are fine.
Published proposals. When you publish a proposal, anyone who has its link can view it, download it, and respond to it. You decide who gets the link. Proposal links stay live while your account is active and may stop working after it ends.
Export and deletion. You can download your proposals from the app. If your account ends, you can ask us for an export of your Customer Data within 30 days. After that, we delete it as described in our Privacy Policy.
06Proposals and estimates: important limits
WattFoundry figures are estimates, not guarantees. Production, savings, utility bill, payback, return, cash flow, incentive, tax credit, and financing figures in the Service are estimates. They depend on the information you provide (such as bills, rates, designs, and pricing) and on third-party data and models (such as weather data, satellite imagery, utility rate schedules, and incentive rules). Actual results will differ. Weather, shading, equipment performance and degradation, utility rate and policy changes, the customer's energy use, installation quality, and many other factors affect them.
- Check automated results. Bill extraction and other automated outputs, including outputs produced with AI, can contain errors. Review them before you rely on them.
- You review every proposal. Review every proposal before you send it. You are responsible for its content, including the system design, equipment, pricing, financing terms, and every statement you make to your customer.
- Incentive eligibility is yours to confirm. Eligibility for incentives and tax credits, including the federal investment tax credit and any bonus credits or adders (such as domestic content, energy community, or low-income), depends on facts and laws we do not control. Confirming eligibility is the responsibility of you and your customer.
- Designs are preliminary. System designs made in the Service are preliminary layouts. They are not engineered plans and do not replace a site survey, structural or electrical engineering, code review, permitting, or utility interconnection review.
- No professional advice. Nothing in the Service is tax, legal, accounting, engineering, investment, or financial advice. Your customers should consult their own advisors.
- We are not a party to your sale. WattFoundry is not a party to any agreement between you and your customer, and does not sell, install, finance, or warrant solar systems.
- Your sales, your compliance. You are responsible for following the laws that apply to your solar sales, including consumer protection, home solicitation, contractor licensing, required disclosure, and financing disclosure laws.
07Third-party services
The Service works with services we do not control, including Google Maps Platform, Stripe, third-party energy modeling and financing software providers, financing partners, and integrations you turn on, such as Zoho CRM.
- Their terms apply. Your use of a third-party service is subject to that provider's terms. The Service uses Google Maps features, so by using them you agree to the Google Maps/Google Earth Additional Terms of Service and acknowledge the Google Privacy Policy. Stripe processes payments and payouts under its own agreements with you.
- Accounts you connect. If you connect a third-party account to the Service (for example, your CRM, or your own license for third-party energy modeling software), you authorize us to access that account and exchange data with it on your behalf. You are responsible for following that provider's terms and for any fees it charges.
- No responsibility for third parties. We are not responsible for third-party services, their availability, or the accuracy of their data. We may add, change, or remove integrations at any time.
08If you received a proposal
If an installer or sales rep sent you a proposal link, this section applies to your use of the proposal page.
- The installer or sales rep named on the proposal built it and is responsible for it. WattFoundry is software. We are not your installer, and we cannot change your proposal.
- Tapping Accept sends your acceptance to the installer. If you ask for changes, your email comes to us and we pass it to the installer. Neither creates a contract with WattFoundry. Any purchase, installation, or financing agreement is between you and your installer or financing provider.
- The figures in the proposal are estimates, as explained in Section 6.
- Please use the page only to review and respond to your own proposal, and follow Section 9.
Questions about price, equipment, timing, or installation go to your installer. For help with a broken link, email keaton@wattfoundry.ai.
09Acceptable use
You will not, and will not help or allow anyone else to:
- break the law or violate anyone's rights, including privacy, publicity, and intellectual property rights;
- upload Customer Data you do not have the right to use or share;
- use the Service to make false, misleading, or deceptive statements to customers, including presenting estimates as guarantees;
- send spam or other messages that violate the law;
- access another organization's data, or get around access controls, plan limits, or usage limits (including by creating extra free accounts);
- probe, scan, or test the security of the Service without our written permission, or introduce malware;
- overload or disrupt the Service, or use bots or scrapers to access it outside the features and APIs we provide;
- copy, scrape, extract, or resell our data, rate and incentive databases, models, or outputs, except the proposals and data you build for your own customers;
- reverse engineer, decompile, or copy the Service, except where the law allows it despite this limit;
- use the Service to build or benchmark a competing product; or
- resell, sublicense, or provide the Service to anyone outside your organization, except as your plan allows.
10Forge referral program
The Forge program lets eligible users refer new customers to WattFoundry and earn rewards. These Terms apply to the program, together with the program details shown in the app.
- Program details. Who qualifies, reward types and amounts, vesting and holding periods, minimum payouts, and plan requirements are shown in the app and may change. You earn a reward only when the program rules for it are met.
- Payouts. Cash rewards are paid through Stripe Connect. To be paid, you must set up a Stripe connected account, complete identity verification, and give us tax information (such as a Form W-9) when required. Cash rewards are currently available only to U.S. persons.
- Taxes. You are responsible for taxes on your rewards. We report payments to tax authorities when required, for example on Form 1099.
- Fraud and reversals. We may withhold, adjust, or reverse rewards tied to self-referrals, fake or duplicate accounts, refunds, chargebacks, cancellations within the program's clawback period, or any breach of these Terms. We may pause your program access while we look into a problem.
- Your conduct. You take part as an independent participant, not as our employee, agent, or partner. Don't make promises for us, misstate our pricing or features, or promote your link with messages that break the law (for example, unsolicited texts or spam email).
- Changes. We may change or end the program with notice. Rewards you have already earned under the rules in effect when you earned them will be paid.
11Our intellectual property
We and our licensors own the Service, including its software, designs, models, databases, templates, and branding. While your account is in good standing, we give you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms for your internal business purposes. You may use, share, and distribute the proposals and other outputs you create in the Service with your customers and partners. The WattFoundry name and logo are our trademarks. These Terms do not give you any other rights in them.
12Feedback
If you send us ideas, suggestions, or other feedback about the Service, we may use them for any purpose without restriction or payment to you.
13Suspension and termination
- By you. You can stop using the Service and cancel at any time (see Section 4).
- By us. We may suspend or end your access to all or part of the Service if you breach these Terms, don't pay, create a security or legal risk, or if the law requires it. When it is practical, we will tell you first and give you a chance to fix the problem.
- If we stop the Service. We may stop offering the Service with at least 30 days' notice. If we do, we will refund prepaid fees for the unused part of your term.
- What happens next. When your account ends, your right to use the Service stops, published proposal links may stop working, and we handle your data as described in Section 5 and our Privacy Policy. Sections that by their nature should continue (including fees owed, disclaimers, limitation of liability, indemnity, and governing law) continue after your account ends.
14Disclaimers
To the fullest extent the law allows, the Service and all content, outputs, estimates, designs, and third-party data are provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.
We do not promise that the Service will be uninterrupted, error-free, or secure, or that any estimate, extraction, design, or proposal will be accurate or complete. Some places do not allow certain disclaimers, so some of these may not apply to you.
15Limitation of liability
To the fullest extent the law allows:
- WattFoundry, Garner Solutions, LLC, and its members, managers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data, arising from or related to the Service or these Terms, even if we were told they were possible.
- Our total liability for all claims arising from or related to the Service or these Terms is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event that gave rise to the claim, or (b) $100.
These limits apply to every theory of liability, including contract, tort (including negligence), and statute, and even if a limited remedy fails of its essential purpose. They do not limit liability that the law does not allow to be limited.
16Indemnity
You will defend, indemnify, and hold harmless WattFoundry, Garner Solutions, LLC, and its members, managers, employees, and contractors from any third-party claim, and from related losses, damages, fines, costs, and reasonable attorneys' fees, arising from:
- your Customer Data, including any claim that you lacked the right or consent to upload it;
- your proposals, sales, installations, financing, and other dealings with your customers;
- your violation of the law or of these Terms; or
- your use of third-party services you connect to the Service.
We will tell you promptly about the claim, let you control the defense, and reasonably cooperate at your expense. You may not settle a claim in a way that puts obligations on us without our written consent.
17Changes to the Service and these Terms
We improve the Service often and may add, change, or remove features. If a change materially reduces the core features of a paid plan you are on, you may cancel and receive a pro-rated refund of prepaid fees for the unused part of your term.
We may update these Terms. If a change is material, we will notify you by email or in the app at least 15 days before it takes effect. The "Last updated" date at the top shows the current version. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and cancel.
18Governing law and disputes
The laws of the State of Utah govern these Terms and any dispute related to them or the Service, without regard to conflict-of-law rules. Any lawsuit must be brought in the state or federal courts located in Salt Lake County, Utah, and you and we consent to the jurisdiction and venue of those courts.
Before filing a lawsuit, you and we agree to try to resolve the dispute informally for 30 days after one of us sends the other written notice of it. Either of us may ask a court for urgent relief to protect intellectual property, confidential information, or data without waiting.
19General terms
- Entire agreement. These Terms, our Privacy Policy, and any order form or written agreement with us are the entire agreement between you and us about the Service.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of all or part of our business.
- Notices. We may send you notices by email to your account's email address or in the app. Send notices to us at keaton@wattfoundry.ai. You agree to receive agreements, notices, and other communications from us electronically.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of third-party services, natural disasters, or government action.
- Severability and waiver. If any part of these Terms cannot be enforced, the rest stays in effect. If we do not enforce a right, we have not waived it.
- Relationship. You and we are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship, and they do not give rights to any third party.
- Where the Service is offered. The Service is designed for solar projects in the United States.
